Merger & Acquisition

As an independent firm void of conflict, we provide unsurpassed expertise across a full range of M&A advisory roles. We commit the time and invest senior advisory resources to learn our client's objectives, discuss strategic alternatives and define realistic expectations. Our bankers leverage their operations expertise to understand a client's business and assess its markets. Rosshire assists in structuring and negotiating transactions while considering factors such as taxes, ongoing liabilities, certainty of closing and continued economic participation. 

Sell-Side Advisory

Rosshire works with clients to understand their objectives and the specific issues that pertain to their company, both micro and macro. We perform comprehensive due diligence, provide detailed financial analysis and create pragmatic and thoughtful solutions. We position client companies to maximize the value in a sale or recapitalization, and we work closely with clients to determine the ideal time to execute a marketing process based on company performance and prevailing market conditions. Our operating experience helps define the most likely and capable interested acquirers. We see the transaction through to structuring, negotiations and closing. 

Buy-Side Advisory

Rosshire assists clients in evaluating market opportunities and identifying potential acquisitions that fit their objectives and strategies. As an independent firm, Rosshire provides objective advice about the merits of target companies and their value. We help determine the best approach, assist in the due diligence, provide rigorous valuation analysis and help structure and negotiate the transaction. 

Rosshire Investment and Financing

Rosshire's goal is to create value for both our investors and clients. Our lower to mid middle market experience allows us to source growth capital for promising smaller companies. Our strong relationships with institutional lenders and investors in the southwestern United States, including banks, private equity firms, hedge funds and venture capital firms allows us to secure capital for acquisition financing, sourcing of new bank debt, and recapitalizations. The common theme across these various options is our experience in working with companies to capitalize their business in order to:

  • Gain or maintain strong market position
  • Realize their growth potential
  • Recruit and retain talented management
  • Grow and diversify their customer base

Rosshire is also in a position to selectively invest directly in unique and profitable companies seeking capital to grow. We like to see some EBITDA and can provide equity capital of up to $250 million. Our investment horizon is typically 3-5 years.
